Incidental breach of the Code of Best Practice for WSE Listed Companies

Acting pursuant to Section 29.3 of the Warsaw Stock Exchange Rules, LIVECHAT Software S.A. (the “Company”) publishes report on incidental breach of the detailed principle specified in the Code of ‘Best Practice for WSE Listed Companies 2016’.

IV.Z.11. Members of the management board and the supervisory board should participate in a general meeting as necessary to answer questions asked at the general meeting.

The principle was violated incidentally. Company's comment regarding an incidental breach of the above rule: At the Extraordinary General Meeting of the Company, held on October 16, 2018 in Wroclaw ("EGM"), there were no representatives of the Management Board of the Company and the Supervisory Board of the Company present, which was caused by unexpected and impossible to move professional duties of the Management Board Members and the Chairman of the Supervisory Board.

This situation was one-off, so far at least one Member of the Management Board and the Chairman of the Supervisory Board or the Vice-Chairman of the Supervisory Board were regularly present at the General Meetings of the Company.
