The Management Board of LiveChat Software S.A. (the “Management Board”, the “Company”) announces that on 24 August 2018 it decided to undertake a review of strategic options supporting further development of the Company’s Group (the “Group”). The purpose of this review of strategic options is to select the best strategic option to deliver the Company’s long-term objective of growing the Group into a global leader in the market for live chat software and related customer service, including support solutions, through exploring measures which may significantly affect the current business model the Group is operating in. At the current stage, various strategic scenarios will be considered by the Management Board, in particular, to attract an international financial partner. In relation to the above, the Management Board engaged financial and legal advisers, who will support it in performing the strategic review. Additionally, the Management Board informs that no decisions to select a specific strategic option have yet been made by the Management Board, and it is not certain if and when any such decisions would be made. Any updates on the review process will be publicly communicated by the Management Board in accordance with applicable laws. This report was prepared pursuant to Article 17, Section 1 of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
